These Terms of Sale apply to transactions between MerStone OÜ (registry code 14442144, VAT 102079010; hereinafter the Seller) and the client (hereinafter the Buyer) and regulate the sale, ordering and payment of products and services.
1.1. These Terms apply to all products and services offered by the Seller unless otherwise agreed in writing.
1.2. By placing an order, the Buyer confirms acceptance of these Terms.
2.1. The Seller supplies stone worktops and related services, including measuring, fabrication and installation.
2.2. As many products are custom-made, final products may differ from samples in texture, pattern or shade. This is a natural property of the materials and is not considered a defect.
3.1. All prices are in euros and subject to VAT in accordance with applicable law unless stated otherwise.
3.2. The Seller reserves the right to change prices. The price confirmed at the time of order applies to the Buyer.
3.3. Quotations are valid for the period stated in the offer.
4.1. An order is considered confirmed after the Buyer accepts the quotation and any agreed advance payment has been received.
4.2. The Seller reserves the right to refuse an order if fulfilment is objectively impossible.
5.1. Payment shall be made according to the terms specified in the quotation or invoice.
5.2. The Seller may require an advance payment.
5.3. In case of late payment, the Seller has the right to suspend fulfilment until payment is received.
6.1. Delivery and installation times are indicative and depend on production schedule, material availability and site readiness.
6.2. The Buyer must ensure that the installation site is properly prepared.
6.3. If the Buyer cancels the order after measuring but before production begins, the Buyer shall be invoiced for the measuring service.
6.4. Any modifications made after installation must be agreed with the Seller.
7.1. The Buyer must inspect the product upon delivery.
7.2. Obvious defects must be reported immediately or within a reasonable period in accordance with applicable consumer protection laws.
7.3. After acceptance, responsibility for the product lies with the Buyer.
8.1. Custom-made products are not subject to the right of withdrawal.
8.2. For services already commenced with the Buyer’s consent, withdrawal is not permitted.
9.1. The Seller’s liability is governed by the applicable Warranty Terms.
9.2. The Seller is not liable for indirect damages, including loss of profit.
10.1. Complaints must be submitted in writing within a reasonable time after discovery of the defect.
10.2. The Seller shall respond within seven (7) calendar days or after completion of a technical assessment.
11.1. The Seller processes personal data solely for order fulfilment and compliance with legal obligations.
11.2. Personal data is not shared with third parties without lawful basis.
12.1. Disputes shall be resolved through negotiations where possible.
12.2. If no agreement is reached, disputes shall be resolved under the laws of the Republic of Estonia.
